Agreement to Terms & Eligibility

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”), and TizBiz Inc. ("TizBiz," "we," "us," or "our") concerning your access to and use of the TizBiz software and related services ("Service"). By accessing or using the Service, you confirm that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, you must cease use immediately.

1.1 Binding Agreement

You must accept these Terms in order to use the Service. We reserve the right to modify these Terms at any time, and we will provide reasonable notice of such changes. Your continued use of the Service following any modifications means you accept the revised Terms.

User Registration and Account Security

2.1 Account Creation

To utilize the Service, you may be required to register for an account. You agree to provide current, accurate, and complete information during the registration process and maintain the accuracy of this information by promptly updating your account details.

2.2 Security Obligations

You are solely responsible for maintaining the confidentiality of your account password and for restricting access to your computer or device. You agree to accept responsibility for all activities that occur under your account, including any activity by authorized users. TizBiz is not liable for losses resulting from unauthorized use of your account due to your failure to maintain security.

Subscription, Fees, and Payment Terms

3.1 Payment Terms

You agree to pay TizBiz the fees specified for your selected subscription plan ("Subscription Fees"). You authorize us to charge your designated payment method on a recurring basis, determined by your billing cycle (monthly or annually).

All fees quoted are exclusive of applicable taxes. TizBiz reserves the right to change the Subscription Fees upon giving you 30 days written notice. Price changes will take effect at the start of the next billing cycle following the notice period.

Cancellation, Termination, and Refunds

4.1 Cancellation by User

You may cancel your subscription at any time via your account dashboard. Cancellation will be effective at the end of your current paid subscription term. You will retain access to the Service until that date, and no pro-rata refund will be issued for any pre-paid unused services.

4.2 Termination for Breach

TizBiz may terminate or suspend your access to the Service immediately, without prior notice or liability, if you violate these Terms, including but not limited to failing to pay Subscription Fees when due.

4.3 Refund Policy

Except where explicitly required by local consumer law, all Subscription Fees are non-refundable. We do not provide refunds or credits for any partial subscription periods or unused Service time.

Intellectual Property and User Content

5.1 TizBiz Intellectual Property

The Service, including its code, design, trademarks, and underlying technology, is the proprietary property of TizBiz and is protected by copyright and trademark laws. You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your internal business operations.

5.2 User Data Ownership

You retain all ownership rights to the data, information, and material that you submit to the Service ("User Data"). You grant TizBiz a worldwide, non-exclusive, royalty-free license to use, process, and display your User Data solely to provide and maintain the Service and as detailed in our Privacy Policy.

Acceptable Use and Prohibited Activities

6.1 Compliance with Law

You agree to use the Service only for lawful purposes and in compliance with all applicable local, state, national, and international laws and regulations.

6.2 Forbidden Activities

The following activities are strictly prohibited: (a) Attempting to gain unauthorized access to TizBiz systems or networks; (b) Transmitting any unauthorized or unsolicited advertising (spam); (c) Uploading malicious code, viruses, or any other harmful software; (d) Harassing, abusing, or defaming other users or TizBiz personnel; (e) Using the Service to perform unauthorized stress testing or denial-of-service attacks.

Disclaimer of Warranties and Services "As Is"

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TIZBIZ EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. TizBiz makes no warranty that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free. You assume all risk for any damage that may result from your use of the Service.

Limitation of Liability and Indemnification

8.1 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL TIZBIZ BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES, OR ANY DAMAGES WHATSOEVER, INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF USE, DATA, OR PROFITS, ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE USE OR PERFORMANCE OF THE SERVICE. TizBiz’s total liability for any claim arising out of or relating to these Terms will not exceed the amount you paid to TizBiz in the twelve (12) months preceding the event giving rise to the claim.

8.2 Indemnification

You agree to indemnify, defend, and hold harmless TizBiz, its affiliates, and their respective officers, directors, and employees, from and against any and all claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your breach of these Terms or your use of the Service.

Governing Law, Jurisdiction, and Arbitration

9.1 Governing Law and Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the Republic of Turkey. You and TizBiz agree that any legal proceedings arising out of or relating to these Terms shall be subject to the exclusive jurisdiction of the courts located in Istanbul, Turkey.

9.2 Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms, or the breach thereof, which cannot be resolved through informal negotiations, shall be submitted to confidential binding arbitration in Ankara, Turkey, conducted under the rules of a recognized commercial arbitration body.

Miscellaneous Provisions and Contact Information

10.1 Entire Agreement

These Terms, together with the Privacy Policy and any documents referenced herein, constitute the entire agreement between you and TizBiz regarding the Service, superseding all prior or contemporaneous agreements, understandings, or representations.
